Terms and Conditions for BOI Filing Service

1. Services Overview and Disclosure

1.1 Company Status

It's OurBrand LLC, doing business as BOISimply ("Service Provider") is a private company providing Beneficial Ownership Information (BOI) report filing services with FinCEN on behalf of clients ("Client"). BOISimply is not affiliated with, endorsed by, or associated with FinCEN, the U.S. Department of the Treasury, or any other government agency.

1.2 Service Nature and Alternatives

  • The service fee is $129 per filing
  • BOISimply operates as a professional filing assistance service specializing in BOI report preparation and submission
  • Clients are advised that BOI reports can be filed directly through FinCEN's website (www.fincen.gov) at no cost
  • By choosing our service, clients are paying for our expertise and convenience in handling the filing process, not for the filing itself
  • We aim to provide an efficient, guided pathway to compliance but do not guarantee any specific outcomes

2. Payment and Processing

2.1 Payment Terms

  • Full payment is required before filing services begin
  • Standard service fee is $129 per filing
  • Promotional or discounted rates may be offered at our discretion
  • All terms and conditions, including our no-refund policy, remain in full effect regardless of promotional pricing or discounts
  • All payments are processed securely through Stripe
  • We accept major credit cards and debit cards
  • Additional fees may apply for re-filings, corrections, or other supplementary services
  • Any additional services will be clearly disclosed and charged separately

2.2 Strict No Refund and Chargeback Policy

  • All sales are final and non-refundable under any and all circumstances
  • No refunds will be issued once payment is made, regardless of:
    • Accidental purchases
    • User errors or mistakes
    • Changes in government requirements
    • Decision not to proceed with filing
    • Changes in business circumstances
    • Any other reason
  • Any attempt to initiate a chargeback or payment reversal will be deemed a breach of this Agreement
  • BOISimply reserves the right to:
    • Dispute any chargeback or reversal attempt
    • Provide these terms as evidence of your acknowledgment of our no-refund policy
    • Pursue reimbursement for any chargeback-related fees and expenses
    • Take legal action to recover funds and damages
    • Terminate all current and future services
  • Client agrees to reimburse BOISimply for all costs associated with chargeback disputes, including:
    • Processing fees
    • Administrative costs
    • Legal expenses
    • Bank charges
  • Once payment is processed, service orders are irreversible and cannot be canceled or altered

3. Authorization and Filing Authority

3.1 Filing Authorization

By accepting these terms and using our services, Client explicitly authorizes BOISimply to:

  • Submit BOI reports to FinCEN on Client's behalf
  • Use Client's provided information to complete the filing
  • Make necessary selections and certifications within the FinCEN filing system
  • Act as Client's authorized filing agent for BOI reporting purposes

3.2 Limited Power of Attorney

Client grants BOISimply limited power of attorney solely for the purpose of:

  • Submitting BOI reports to FinCEN using information provided by Client
  • Making required certifications within the FinCEN filing system
  • Completing all necessary steps to fulfill BOI filing obligations

This authorization is:

  • Limited specifically to BOI filings
  • Valid only for the specific filing(s) paid for
  • Does not grant any other rights or powers
  • Revocable upon completion of the filing

3.3 Filing Certification

Client acknowledges and agrees that by submitting information to BOISimply:

  • They authorize BOISimply to certify the accuracy of provided information to FinCEN
  • They remain ultimately responsible for the accuracy of submitted information
  • They grant BOISimply permission to electronically sign and submit the filing

3.4 No Guarantee of Outcome

  • Our services are limited to preparing and submitting BOI reports based on provided information
  • We do not guarantee approval, acceptance, or processing timeframes by FinCEN
  • Services are provided "as-is" without warranty of outcome
  • We are not responsible for agency decisions or processing times

4. Client Responsibilities

Client agrees to:

  • Provide accurate, complete, and truthful information
  • Review all submitted information for accuracy
  • Maintain required documentation
  • Submit updates or corrections promptly
  • Pay the service fee before filing
  • Comply with all FinCEN requirements and deadlines

5. No Legal, Tax, or Professional Advice

5.1 Not a Law Firm

BOISimply and its employees are not lawyers or a law firm and do not provide legal advice. The service we provide is limited strictly to filing BOI reports based on information provided by the Client.

5.2 Professional Services Disclaimer

  • BOISimply does not provide legal, tax, accounting, or any other professional advice
  • Our services are limited to data entry and filing of BOI reports
  • We do not advise on:
    • Legal requirements or obligations
    • Corporate structure or governance
    • Tax implications or requirements
    • Beneficial ownership determinations
    • FinCEN compliance strategies
  • Clients should consult qualified legal counsel, tax advisors, or other appropriate professionals for advice on:
    • Whether they need to file a BOI report
    • Who qualifies as beneficial owners
    • Legal obligations under FinCEN requirements
    • Any other legal or professional matters

5.3 Client Acknowledgment

Client acknowledges that:

  • They are not relying on BOISimply for legal, tax, or professional advice
  • They are responsible for consulting appropriate professionals for advice
  • BOISimply's role is limited to filing services only
  • Any questions about legal obligations should be directed to qualified legal counsel

6. Data Privacy and Security

6.1 Data Protection

BOISimply implements the following security measures:

  • Sensitive client data is encrypted using industry-standard encryption protocols
  • We implement reasonable technical and organizational security measures
  • Access to client data is strictly limited to authorized BOISimply personnel
  • We maintain secure backup systems for data protection

6.2 Data Usage and Sharing

  • Client data will be used solely for BOI filing purposes by BOISimply
  • BOISimply does not sell, rent, or share client information with third parties
  • Data may be shared only when:
    • Required by law or court order
    • Necessary to complete FinCEN filings
    • Explicitly authorized by client

6.3 Data Retention and Deletion

  • All sensitive client data is permanently deleted from BOISimply systems within 24 hours after successful BOI filing
  • Only minimal transaction records required for business operations are retained
  • Retained records include:
    • Company name
    • Date of filing
    • BOISimply transaction ID
    • Payment information
  • Client may request confirmation of data deletion by emailing info@boisimply.com
  • No sensitive personal information, beneficial ownership details, or identification documents are retained

6.4 Data Breach Disclaimer

  • While we maintain security measures, no data transmission or storage system is 100% secure
  • Service Provider is not liable for any data breaches, unauthorized access, or cyber attacks
  • Client acknowledges inherent risks of electronic data storage and transmission
  • Service Provider's liability for data incidents is limited to the amount paid for services

7. Intellectual Property Rights

7.1 Ownership

  • All content on BOISimply's website and services, including but not limited to:
    • Text, graphics, logos, and images
    • Forms and documents
    • Website design and layout
    • Software and code
    • Data collection and entry systems
    • Process workflows and methodologies
    • Marketing materials and content is the exclusive intellectual property of It's OurBrand LLC (dba BOISimply) and is protected by copyright, trademark, and other intellectual property laws.

7.2 Restrictions on Use

  • No content may be copied, reproduced, distributed, or transmitted without explicit written permission
  • Prohibited activities include but are not limited to:
    • Copying or adapting our forms or processes
    • Replicating our service methodology
    • Scraping or harvesting our content
    • Reverse engineering our systems
    • Using our materials for competing services
    • Modifying or creating derivative works
    • Removing any copyright or proprietary notices

7.3 Limited License

  • Users are granted a limited, non-exclusive, non-transferable license to access our services solely for their intended purpose
  • This license does not include rights to:
    • Resell or commercial use of the service
    • Collect or use any listings, descriptions, or prices
    • Make derivative use of the service or its contents
    • Download or copy account information
    • Use data mining, robots, or similar data gathering tools

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Service Provider's total liability shall not exceed the amount paid for services
  • Service Provider is not liable for any direct, indirect, incidental, special, consequential, or punitive damages
  • Service Provider is not responsible for penalties, fines, or legal consequences resulting from:
    • Inaccurate or incomplete information provided by Client
    • Late filings due to delayed information from Client
    • Technical issues with FinCEN's systems
    • Changes in FinCEN requirements or regulations
    • Data breaches or unauthorized access despite security measures

9. Indemnification

Client agrees to indemnify, defend, and hold harmless Service Provider from any claims, damages, losses, liabilities, costs, or expenses (including attorney fees) arising from:

  • Client's breach of these terms
  • Information provided by Client
  • Use of the services
  • Violations of FinCEN requirements

10. Marketing and Communications

  • By providing your email address, you agree to receive:
    • Service-related communications
    • Filing status updates
    • Important regulatory updates
    • Marketing communications from BOISimply
  • You may opt out of marketing communications at any time
  • We will maintain essential service-related communications regardless of marketing preferences

11. Confidentiality

Service Provider will maintain the confidentiality of Client's information except as required by law or FinCEN regulations.

12. Termination

Either party may terminate services with written notice. Client remains responsible for fees incurred prior to termination.

13. Governing Law and Jurisdiction

These terms are governed by the laws of the State of Texas. Any disputes arising from or relating to these terms or the services shall be resolved exclusively in the courts of Texas. Client consents to personal jurisdiction in Texas for any such disputes.
